Terms of Service

These Terms of Service govern access to and use of the Ölis website, guest check-in experience, manager portal, restaurant messaging tools, campaign landing pages, and related services (collectively, the Service). The Service is provided by Olis Technologies, LLC. By accessing or using the Service, you agree to these Terms.

1. Who These Terms Apply To

  • Guests who scan a restaurant QR code, check in, redeem a guest QR, or otherwise interact with a participating restaurant through Ölis.
  • Restaurant owners, managers, staff members, and invitees who use the manager portal.
  • Visitors who browse our website or contact us.

2. Description of the Service

Ölis provides software that lets participating restaurants run QR-based guest check-in, create visit records, display guest-facing success screens, manage perks and comp redemption flows, operate team access, and send restaurant outreach through the platform.

3. Guest Terms

If you use the Service as a guest, you agree to provide accurate information and to use the Service only for your own lawful interactions with participating restaurants. Offers, tiers, perks, access rules, and redemption conditions are determined by the participating restaurant and may change, expire, be limited, or be unavailable without notice.

4. Manager Account Terms

If you use the Service as a restaurant owner, manager, staff member, or invitee, you represent that you are authorized to access the relevant restaurant account and act within the permissions granted to you. You are responsible for protecting your account credentials, invite links, and magic links, and for activity that occurs under your account.

Manager users may not use the Service to violate law, misrepresent a sender, upload unlawful or infringing content, target recipients improperly, harvest data without authorization, interfere with the Service, or access data they are not permitted to access.

5. Restaurant Customers and Data Processing

Restaurants are responsible for the content of their campaigns, offers, redemption rules, guest outreach decisions, and in-venue operations. Our restaurant data-processing terms are described in the Restaurant DPA. If a restaurant has a separate signed agreement with us, that agreement may control where it conflicts with these public Terms.

6. Email Communications

The Service is email-based for guest check-in and manager access. Guests may receive service-related messages about a check-in, visit, reward, or restaurant interaction. Guests may also receive promotional emails sent through Ölis on behalf of a participating restaurant.

Promotional emails are commercial messages and include unsubscribe instructions. Manager login links, security notices, invitations, and similar account messages are operational messages sent to run the Service.

7. Restaurant Responsibility for Offers and Campaigns

Participating restaurants are separate businesses. Ölis provides the software platform but is not the merchant of record for restaurant food, beverage, or in-venue services and is not responsible for a restaurant's refusal, staffing issue, operational error, or service quality.

8. Acceptable Use

You agree not to:

  • use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
  • attempt to gain unauthorized access to the Service, data, or accounts;
  • reverse engineer, disrupt, or interfere with the integrity of the Service;
  • submit harmful code or automate abusive traffic against the Service; or
  • use the Service in a way that infringes another party's rights.

9. Intellectual Property

The Service, including its software, design, branding, and non-user-generated content, is owned by Olis Technologies, LLC or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you ownership of the Service or its underlying intellectual property.

10. Suspension and Termination

We may suspend or terminate access to the Service if we believe it is necessary to protect the Service, restaurants, users, or the public, or if a user violates these Terms or applicable law.

11. Disclaimers

The Service is provided on an as is and as available basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free, or fully secure.

12. Limitation of Liability

To the fullest extent permitted by law, Olis Technologies, LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business interruption, arising out of or relating to the Service or these Terms.

13. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how information is collected, used, and disclosed.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

15. Changes to These Terms

We may update these Terms from time to time. If we do, we will post the revised version on this page and update the Last Updated date above.
